Terms of Service

These terms govern your use of Seller Command Center, operated by Rutledge Trading Inc., also trading as Rutledge Brands, a corporation registered in the United States at 62 Rutledge Street, Brooklyn, NY 11249 ("we", "us"). By creating an account or using the service you agree to them.

1. The service

Seller Command Center is advertising software. It connects to your Google Ads and Amazon Advertising accounts with your authorisation, reports on the performance of advertising that drives traffic to Amazon listings, and lets you make changes to those campaigns.

The service is currently offered in private beta. Features may change, and we may impose usage limits while we scale.

3. Your accounts and authorisations

You authorise us to access your connected advertising accounts through each platform's official authorisation process. You can withdraw that authorisation at any time, from within Seller Command Center or directly with Google or Amazon.

You are responsible for keeping your login credentials secure and for activity carried out under your account, including by anyone you invite to it.

4. Changes we make to your advertising

This is the most important section in these terms, so we have written it plainly.

The service can change bids, budgets, keywords, campaign status and ad content in your connected accounts. Those changes are made on your instruction — either because you made them directly, or because you enabled or approved an automation that made them.

We apply guardrails intended to limit the effect of any single change, and we log every change we make. But advertising platforms are complex, automated systems fail, and outcomes depend on factors outside our control including auction dynamics, competitor behaviour and platform policy. You remain responsible for your advertising spend and for reviewing the changes made in your accounts. We strongly recommend keeping platform-level budget caps in place independently of this service.

5. Data and reporting accuracy

Reporting depends on data provided by Google and Amazon. Amazon conversions can take up to fourteen days to settle, Amazon suppresses some low-volume figures, and both platforms restate data from time to time. We show settled and unsettled figures separately and flag known limitations, but we cannot guarantee that any figure is complete or final, and figures should not be relied on as accounting records.

7. Fees

Where fees apply, they will be set out when you subscribe. Subscriptions renew automatically unless cancelled before the renewal date. Fees are exclusive of tax unless stated. We will give at least 30 days' notice by email before changing the price of an existing subscription.

During the private beta, access may be provided free of charge or at a discount.

8. Intellectual property

We own the service, its software and its interface. You own your data, including everything we access from your connected accounts and everything you enter. You grant us the limited licence needed to operate the service for you, and nothing more.

9. Third-party platforms

The service depends on Google and Amazon APIs. Those platforms may change, restrict or withdraw access at any time, and their availability is outside our control. We are not affiliated with, endorsed by or sponsored by Amazon or Google.

10. Warranties and disclaimers

We provide the service with reasonable skill and care. Beyond that, and to the extent permitted by law, the service is provided "as is" without warranties of any kind. We do not warrant that it will be uninterrupted or error-free, or that using it will improve your advertising performance, sales or profitability.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or data.

Our total aggregate liability arising out of or relating to these terms or the service is limited to the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars.

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

12. Indemnity

You will indemnify us against claims arising from your use of the service in breach of these terms, from advertising content you publish, or from your breach of Google's or Amazon's policies.

13. Termination

You may close your account at any time. We may suspend or terminate access if you materially breach these terms, if required by Google or Amazon, or if we discontinue the service — in which case we will give reasonable notice and refund any prepaid, unused fees.

On termination we delete your data as described in the Privacy Policy.

14. Changes to these terms

We may update these terms. If a change is material we will notify account holders by email at least 30 days before it takes effect. Continuing to use the service after that means you accept the new terms.

15. Governing law

These terms are governed by the laws of the State of New York, United States, and the courts of New York have exclusive jurisdiction, without affecting any mandatory consumer protections available to you where you live.
